The terms and conditions are applied between Juha Punta (Ltd). (hereinafter Seller) and the customer (hereinafter Buyer), unless otherwise agreed. Besides the present terms and conditions, General Terms of a Contract NL 01 are applied.

Prices
Prices ( € ) are understood to be ex works at the Seller without VAT (0 %), which will be invoiced according to prevailing tax rate in force. The prices include standard packing for domestic transportation only. Special export packing and pallets will be charged separately.

Delivery time
For goods delivered directly from the stock the delivery time is approximately 1 week from receipt of the order, subject to prior sale. The delivery time of the non-stocked products will always be agreed case by case. The delivery time will start as soon as all the necessary information concerning the goods, payment and buyer is available for the Seller.

Modifications
In case the Buyer wants to modify the content of the order, not later than 7 days of the order confirmation, the Seller reserves the right to adjust the delivery time and price. If, for reasons attributable to the Buyer, the time of delivery will be postponed beyond the agreed time, the Buyer has to reach an agreement with the Seller at least three weeks before the due date of the delivery. Otherwise, the resulting storage costs will be charged to the Buyer. If, for reasons attributable to the Seller, the delivery time is delayed, the Buyer is entitled to demand a delay penalty of 0.5 % per each full week for that part of the delivery, which is delayed beyond the confirmed date of delivery.

Delivery terms
Terms (preferably according to Incoterms) will be agreed separately between both parties.

Payment terms
The standard payment time is 14 days net from the date of the invoice. The penalty of delay is determined according
to the interest rate ratified yearly by the Ministry of Finance in Finland.

Claims
Complaints concerning the quality or delivery of the goods must be made within eight days after the receipt of the delivery. However, in case of a transportation damage, the Buyer must claim the freight carrier immediately. Remarks and all necessary information must be written on the shipping documents. Upon the Buyer's request, and at the expense of the Buyer, the Seller will make an insurance to cover possible transportation damages.

Limited warranty
If not otherwise mentioned, we give a five year guarantee for all standard PUNTA products, covering design, manufacturing and material defects. The warranty covers neither damages caused by normal wear or misuse, nor any indirect costs or losses. This limited warranty is valid only if the goods are used indoors and the level of humidity does not exceed normal
circumstances.

Changes
The prices are in effect for the time being. We reserve the right to adjust prices, without prior notice, when required.
Due to continuous research and development work we also reserve the right to make technical changes in products.

Proprietary right
The goods remain Sellers property until the entire purchase price of the products, deliveries and possible installation has been fully paid.
